KNO Events Collective LLC

Collective Member Agreement

Draft master agreement for accepted independent professionals.

1. Parties and Purpose

This Collective Member Agreement (the “Agreement”) is entered into between KNO Events Collective LLC, a Texas limited liability company (“KNO Collective”), and the individual or entity identified in the signature block (“Member”). The Agreement establishes the terms under which Member may participate in KNO Collective and may be offered independent professional engagements for KNO Collective clients.

2. Collective Membership

Membership provides access to a professional network and potential opportunities. KNO Collective does not guarantee any engagement, minimum hours, compensation, revenue, exclusivity, or volume of work. Member may decline any proposed engagement unless Member has already accepted a binding Project Addendum. KNO Collective may determine which Members to present for opportunities and may suspend or terminate membership as provided below.

3. Independent Contractor Relationship

Member is and will remain an independent business and not an employee, partner, joint venturer, franchisee, or general agent of KNO Collective or any client. No employment relationship is created merely by membership. For each accepted engagement, Member will perform as an independent contractor subject to this Agreement and the applicable Project Addendum. Member is responsible for taxes, registrations, licenses, insurance, benefits, equipment, and ordinary business expenses except as expressly stated in a Project Addendum. Nothing in this Agreement authorizes Member to bind KNO Collective or a client.

4. Opportunities and Project Addenda

Each engagement must be documented in a written Project Addendum or other written project confirmation accepted by KNO Collective and Member. The Project Addendum should identify the client, role, scope, dates, rate or fee, expected commitment, expenses, deliverables, payment terms, and any engagement-specific requirements. If a Project Addendum conflicts with this Agreement, the Project Addendum controls only for that engagement and only to the extent of the conflict.

5. Compensation, Invoicing and Expenses

Member compensation will be stated in each Project Addendum. [CONFIRM: invoicing cadence; payment timing after approved invoice; whether payment is contingent on client payment; expense approval/reimbursement rules; cancellation/kill fees; travel-day rates.] Member may not incur reimbursable expenses without any approval required by the applicable Project Addendum.

6. Professional Standards

Member will perform services professionally, timely, ethically, safely, and in accordance with applicable law, client policies communicated to Member, and agreed project requirements. Member will promptly disclose material conflicts of interest, inability to meet commitments, or circumstances reasonably likely to affect performance.

7. Confidentiality

Member will protect confidential information of KNO Collective, its affiliates, clients, prospective clients, vendors, and other Collective Members; use it only for authorized purposes; and disclose it only as necessary to perform an engagement. Confidential information excludes information lawfully public through no breach, already known without restriction, independently developed, or lawfully received from a third party. Legally compelled disclosure is permitted subject to notice where lawful. These obligations survive termination.

8. Intellectual Property

[COUNSEL/COMMERCIAL DECISION REQUIRED.] Each Project Addendum should specify ownership of deliverables and pre-existing materials. Unless otherwise stated, Member retains ownership of pre-existing tools, know-how, templates, and materials and grants rights necessary to use them as incorporated into deliverables. Client-specific work product ownership should align with the applicable client agreement. Member represents that deliverables will not knowingly infringe third-party rights.

9. Member Profile and Client Presentations

Member authorizes KNO Collective to use Member’s name, professional biography, headshot, professional experience, skills, expertise, resume information, portfolio/work samples Member has the right to share, qualifications, geographic market, rates, availability, and other relevant professional profile information to administer the Collective and to identify, propose, match, and staff Member for prospective and current client engagements, as further described in the KNO Collective Privacy & Cookies Policy.

10. Client Relationships; Non-Circumvention

[COUNSEL DECISION REQUIRED.] The parties intend to protect client relationships introduced or developed through KNO Collective while preserving Member’s independent business. Insert the approved scope, duration, exclusions for pre-existing relationships, and any permitted direct-hire/buyout mechanism here. Do not execute this Agreement until this provision is finalized for applicable law.

11. Other Work and Conflicts

Except during an accepted engagement to the extent necessary to meet agreed commitments, Member may provide services to other clients and businesses, including through other networks, provided doing so does not breach confidentiality, create an undisclosed material conflict, misuse KNO/client information, or violate an accepted Project Addendum.

12. Insurance and Compliance

[CONFIRM REQUIREMENTS.] Member will maintain any licenses and insurance required by law or expressly required in a Project Addendum. If KNO Collective establishes minimum general liability, professional liability, workers compensation, auto, cyber, or other insurance requirements, they should be stated here or in the Project Addendum.

13. Term; Removal; Active Projects

This Agreement begins on the effective date and continues until terminated. Either party may terminate membership upon [NOTICE PERIOD] written notice, and KNO Collective may terminate immediately for material breach, misconduct, fraud, confidentiality violation, client safety concerns, or other grounds specified by counsel. Termination does not automatically terminate an active Project Addendum unless that document or applicable law provides otherwise. Accrued payment, confidentiality, IP, restrictive covenant, dispute, and other provisions intended to survive will survive.

14. Representations; Indemnification; Liability

[COUNSEL REVIEW REQUIRED.] Include reciprocal/appropriate representations, Member responsibility for breach, misconduct and infringement, indemnification mechanics, exclusions of consequential damages, and any liability cap appropriate to the contractor relationship and KNO’s insurance program.

15. Governing Law; Disputes

Texas law will govern without regard to conflict-of-law principles. [CONFIRM venue/arbitration structure. Existing KNO website terms use Dallas, Texas courts and a jury-trial waiver; counsel should confirm whether to use the same approach for independent contractors.]

16. General

This Agreement and accepted Project Addenda constitute the agreement governing Member’s participation and engagements, superseding prior discussions on those subjects. Amendments must be in writing. Member may not assign an engagement without KNO Collective’s written consent. Electronic signatures and counterparts are permitted. If a provision is unenforceable, the remaining provisions remain effective.
